This announcement replaces the Director/PDMR Shareholding announcement released on the RNS system on the RNS no. 8880Z on Friday 25 July 2008 at 10.48. An amendment has been made to the total holding of the Morris Shoes Retirement Pension Fund (the sole beneficiary of which is of Peter Phillips) following its dealing. The total shareholding of the Morris Shoes Retirement Pension Fund combined with the Ordinary Shares Peter Phillips holds in his own name following this notification is 11,750,000 Ordinary Shares (representing 5.33% of the total issued share capital) and not 2,750,000 Ordinary Shares as previously stated. Exercise of Options and TVR Update 

Hardy Amies plc announces that The Morris Shoes Retirement Pension Fund of which Peter Phillips,
Non-Executive Director, is the sole beneficiary has exercised options over 10,000,000 Ordinary Shares
of 1p at a price of 2.89p per share. 

Mr Phillips is now interested in a total of 11,750,000 Ordinary Shares representing 5.33% of the issued
share capital. The total number of Ordinary Shares in issue following this exercise of options is
220,491,085. 

Application has been be made for the 10,000,000 new Ordinary Shares to be admitted to trading on AIM
with admission expected to take place on 5 August 2008. 

The figure of 220,491,085 Ordinary Shares may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their interest in, or a change to their
interest in, the Company under the FSA's Disclosure and Transparency Rules
