Vesting of the LTIP Granted 2 November 2005

In respect of the Tenth Annual Award made under the Imperial Tobacco Group LTIP, following partial achievement of the performance criteria, approximately 93.85% of the EPS element, 77.6% of the TSR v FTSE 100 element and none of the TSR v Comparator Group have vested.  Further details relating to the operation of the LTIP can be found within the Annual Report & Accounts which are available on the Company's website.

Vesting takes the form of the grant of an option over the Company's ordinary shares of 10 pence exercisable, upon payment of the notional exercise price, at any time until the seventh anniversary of the date of grant of the option.
