Pennine Downing AIM VCT plc announces that on 28 February 2007 the Company
purchased 52,500 ordinary shares of 5p each for cancellation, representing 0.63%
of the issued share capital, at a price of 68.0p per share.

Following the above transaction the Company now has 8,258,814 shares in issue.
The Company does not hold any shares in treasury.
Therefore the total number of voting rights in Pennine Downing AIM VCT plc is
8,258,814.

The above figure may be used by shareholders as the denominator for the
